Introduction
These Terms of Business ("Terms") govern the relationship between Advanced Implant Laboratories Limited ("the Laboratory") and its clients, including dental professionals and dental practices ("the Client"). By placing an order with the Laboratory, the Client agrees to be bound by these Terms.
Scope of Service
The Laboratory specialises in planning implant placement and creating both temporary and final restorations, such as crowns and bridges, for dental professionals. Our services include:
- Implant placement planning for surgical procedures.
- Provision of detailed implant placement plans and approvals.
- Manufacture of temporary and final restorations.
- Opportunity for Clients to review and approve restoration designs prior to manufacture.
Patient Data Privacy
- Patient data provided by the Client will be used solely to process the services as requested by the Client.
- The Laboratory is committed to maintaining the confidentiality and security of all patient data in compliance with the UK General Data Protection Regulation (UK GDPR) and other relevant privacy laws.
- Both parties agree that any patient information shared will be handled with the highest standards of confidentiality and only used for the purposes intended.
Use of Digital Files for Marketing Purposes
- The Laboratory reserves the right to use a combination of STL files and CBCT files, which have been submitted for manufacturing purposes, to showcase the services of the Laboratory in marketing materials. This includes using anonymised data to demonstrate the quality and scope of our services.
- Unless explicitly instructed otherwise by the Client in writing, such files may be used for promotional activities.
- No patient identification, such as patient pictures, names, or any other identifiable information, will be used in marketing materials unless specific consent is given by the Client.
Impression Disinfection
- Impressions provided by the Client must be disinfected in accordance with standard practices of dental clinics and as outlined by the NHS and/or Care Quality Commission (CQC) guidelines.
- The Laboratory reserves the right to refuse any impressions that appear to be non-compliant with these disinfection standards, as patient and staff safety is of utmost importance.
Approvals and Liability
- The Laboratory provides implant placement plans and restorations for approval by the Client. These approvals must be reviewed and accepted by the Client before proceeding.
- By accepting the Laboratory’s approvals, the Client acknowledges full responsibility and liability for the implementation of the approved plans and the use of the manufactured restorations.
- Should the Client fail to review the provided designs or approvals, the Laboratory will proceed based on the provided specifications. Any dissatisfaction arising from this will not be the responsibility of the Laboratory. If a sub-optimal crown or bridge results due to lack of review, the Client may incur additional charges for any required remakes or adjustments.
Design and Review Process
- At the time of order placement, the Client will be given the opportunity to review the proposed designs for temporary and final restorations.
- The Client is responsible for providing feedback or requesting changes during the review period. Failure to do so constitutes acceptance of the design as-is.
- The Laboratory is not liable for any issues arising from the Client’s failure to review or provide feedback on the proposed designs.
Billing and Payment Terms
- All invoices are due for payment within 30 days from the end of the month in which the case was dispatched from the Laboratory.
- Failure to make payment within the specified timeframe may result in:
- The involvement of a debt collection agency.
- The application of interest on overdue payments, calculated at [specify interest rate] per annum in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- Suspension of the Client’s account and halt of any ongoing or future work until payment is received in full.
- Any disputes regarding invoices must be raised within the 30-day payment window. Failure to raise a dispute within this period will result in the acceptance of the charges as stated on the invoice.
Alterations and Additional Charges
- Any changes requested after the initial approval and commencement of production may incur additional charges, which will be communicated to the Client prior to proceeding.
- In cases where a remake or adjustment is requested due to the Client’s oversight or change of decision, additional fees may apply.
Liability and Indemnification
- The Laboratory shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from the use of its products or services, except in cases of gross negligence or wilful misconduct.
- The Client agrees to indemnify and hold the Laboratory harmless from any claims, damages, or losses arising out of or in connection with the use of the Laboratory's products or services.
Confidentiality
- Both parties agree to maintain confidentiality of all patient information and business practices disclosed during the course of the relationship. Any sharing of information must comply with the UK General Data Protection Regulation (UK GDPR) and other relevant privacy laws and regulations.
Governing Law and Jurisdiction
- These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Amendments
- The Laboratory reserves the right to amend these Terms at any time. Clients will be notified of any changes, and continued use of the Laboratory’s services will constitute acceptance of the revised Terms.
Acceptance of Terms
By placing an order with the Laboratory, the Client acknowledges that they have read, understood, and agree to these Terms of Business.
